1. Definitions
- "Firm" refers to PROFINO LLP, a Limited Liability Partnership registered under the LLP Act 2008 with LLPIN: AAB-1234.
- "Services" refers to all chartered accountancy, taxation, audit, compliance, and advisory services provided by the Firm.
- "Client" refers to any individual, company, firm, or entity that engages the Firm's services.
- "Website" refers to www.profinollp.com and all its sub-pages.
- "Engagement Letter" refers to the formal written agreement between the Firm and Client that governs a specific service engagement.
2. Professional Services
2.1 Engagement Commencement
All professional services are governed by a signed Engagement Letter that specifies the scope, fees, timelines, and deliverables. No professional relationship is created until an Engagement Letter is duly signed by both parties.
2.2 Client Responsibilities
The Client agrees to:
- Provide complete, accurate, and timely information and documents as requested by the Firm
- Review and approve all filings and submissions before the Firm files them on the Client's behalf
- Inform the Firm promptly of any material changes in business circumstances, ownership, or financial position
- Pay invoices within the payment terms specified in the Engagement Letter
- Maintain the confidentiality of login credentials provided for any Firm portals
2.3 Scope Limitations
Our advice is based on information provided by the Client and applicable laws as of the date of advice. We are not responsible for changes in law after the date of our advice unless we have been retained for ongoing advisory services. Our advice is specific to the facts presented and should not be applied to different circumstances without consulting us.
3. Fees and Payment
- Fees are as agreed in the Engagement Letter and are exclusive of applicable GST unless stated otherwise
- Invoices are payable within 15 days of the invoice date unless otherwise specified
- Overdue invoices attract interest at 18% per annum from the due date
- We reserve the right to suspend services for invoices outstanding beyond 30 days
- Out-of-pocket expenses (filing fees, government fees, travel) are billed at cost with prior approval
4. Confidentiality
The Firm maintains strict confidentiality of all client information in accordance with the ICAI Code of Ethics. We will not disclose your information to third parties except:
- As required by law, court order, or regulatory directive
- With your explicit written consent
- To government authorities as part of service delivery (returns filing, registrations)
- To professional consultants engaged under NDA for specific technical requirements
5. Limitation of Liability
To the maximum extent permitted by law:
- The Firm's total liability to the Client for any claim arising from our services is limited to the fees paid for the specific service that gave rise to the claim
- We are not liable for any indirect, consequential, or punitive damages
- We are not liable for losses arising from the Client's failure to provide accurate or timely information
- We are not liable for government processing delays, policy changes, or regulatory decisions beyond our control
- Our liability for statutory filings is limited to re-doing the filing at no charge — not for any penalties imposed by authorities due to Client-caused errors or delays
6. Intellectual Property
All content on this website — including text, graphics, logos, articles, templates, and software — is the intellectual property of PROFINO LLP and is protected by copyright law. You may not reproduce, distribute, or use our content without written permission, except for personal, non-commercial reference.
7. Website Disclaimer

8. Termination
Either party may terminate a service engagement with 30 days written notice. Upon termination:
- The Client must pay all outstanding fees for work completed up to the termination date
- The Firm will return all original Client documents within 14 business days
- The Firm will provide a handover note to enable smooth transition to a successor advisor
- Confidentiality obligations survive termination indefinitely
9. Dispute Resolution
Any dispute arising from or relating to these Terms or our services shall be:
- First attempted to be resolved through mutual discussion within 30 days of written notice
- If unresolved, referred to arbitration under the Arbitration and Conciliation Act 1996
- The seat of arbitration shall be Mumbai, Maharashtra
- The language of arbitration shall be English
- All disputes are subject to the exclusive jurisdiction of courts in Mumbai
10. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of India, including the LLP Act 2008, Chartered Accountants Act 1949, and applicable professional standards issued by ICAI.
11. Anti-Money Laundering
As a regulated professional firm, PROFINO LLP complies with the Prevention of Money Laundering Act (PMLA) 2002. We are required to conduct Customer Due Diligence (CDD), maintain records of transactions, and report suspicious transactions to the Financial Intelligence Unit (FIU-IND).
12. Changes to Terms
We reserve the right to update these Terms at any time. The "Last Updated" date reflects the latest revision. Continued use of our website or services after changes constitutes acceptance of the revised Terms.
